Welcome to Ribbit ("Ribbit", "we", "us", or "our"). These Terms & Conditions ("Terms") govern your access to and use of the Ribbit website, applications, and services (collectively, the "Services"). By accessing or using Ribbit, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
Ribbit does not knowingly collect personal information from children under 13. If we become aware that a user is under 13, we will terminate the account and delete associated data.
Ribbit is intended to be a safe, lawful, and respectful platform for all users. By accessing or using the Services, you agree to conduct yourself responsibly and to comply with these Community Standards at all times. The following rules apply to all content, interactions, messages, profiles, usernames, communities, comments, links, and activity on the platform.
Ribbit reserves the right, in its sole discretion, to remove content, restrict visibility, limit features, suspend accounts, or permanently terminate access to the Services in order to protect users, enforce these standards, comply with legal obligations, and maintain the safety and integrity of the platform. Enforcement actions may be taken with or without prior notice.
You retain ownership of any content you submit, post, or otherwise make available on Ribbit ("User Content"). Nothing in these Terms transfers ownership of your User Content to Ribbit. However, by posting or sharing User Content through the Services, you grant Ribbit a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, host, store, reproduce, modify, adapt, publish, translate, display, distribute, and create derivative works from your User Content, solely for the purposes of operating, maintaining, improving, promoting, and providing the Services.
This license allows Ribbit to make your User Content available to other users in accordance with your settings, to display content across different devices and platforms, and to take technical steps necessary to ensure proper functionality, security, and performance of the Services. The license continues for as long as your User Content remains on the Services and terminates within a reasonable period of time after you remove such content, except where continued retention is required for legal, regulatory, or backup purposes.
You represent and warrant that you own or have obtained all rights, licenses, consents, and permissions necessary to grant the above license for any User Content you submit, and that your User Content does not infringe or violate the rights of any third party, including intellectual property, privacy, or publicity rights.
You are solely responsible for your User Content and represent that you have all necessary rights to post it.
Ribbit reserves the right, but does not assume any obligation, to review, monitor, moderate, remove, disable access to, or otherwise restrict User Content at any time and for any reason. This includes content that Ribbit believes, in its sole discretion, violates these Terms, applicable laws, community standards, or poses a risk to the safety, integrity, or proper operation of the Services. Ribbit is not responsible for user-generated content and does not guarantee that any content will be reviewed, approved, or removed prior to becoming available on the platform.
Enforcement actions may be taken with or without notice and may include content removal, visibility restrictions, account limitations, or other measures deemed appropriate. Nothing in these Terms creates an obligation for Ribbit to monitor content or respond to reports, and Ribbit’s decision not to take action in a particular instance does not constitute a waiver of its right to enforce these Terms in the future.
Ribbit reserves the right, but does not assume the obligation, to review, monitor, moderate, remove, disable access to, or otherwise restrict User Content at any time and for any reason, including if we believe, in our sole discretion, that such content violates these Terms, applicable laws, or community standards, or poses a risk to the safety, integrity, or proper functioning of the Services. Ribbit is not responsible for user-generated content and does not guarantee that any content will be reviewed prior to removal or restriction.
Ribbit may suspend, restrict, disable, or terminate your account, access to the Services, or specific features, with or without notice, and at any time, in our sole discretion. Such actions may be temporary or permanent and may include the removal of User Content, limitation of visibility, restriction of functionality, or complete account termination.
Without limiting the foregoing, Ribbit may take enforcement action for reasons including, but not limited to, the following circumstances:
Ribbit is not obligated to provide advance notice or an explanation prior to taking enforcement action, particularly where immediate action is necessary to protect users, the platform, or comply with legal obligations. Where appropriate and practicable, Ribbit may provide notice or an opportunity to appeal, but reserves the right to determine the appropriate response on a case-by-case basis.
Upon suspension or termination, your right to access or use the Services will immediately cease. Ribbit may, but is not required to, retain or delete User Content associated with your account in accordance with legal, operational, security, or backup requirements.
All content, features, and materials provided by Ribbit, excluding User Content, including but not limited to the platform’s design, layout, text, graphics, logos, icons, branding, software, code, and functionality (collectively, the “Ribbit Materials”), are owned by or licensed to Ribbit and are protected by intellectual property laws, including copyright, trademark, and trade secret laws.
Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, publicly display, perform, create derivative works from, or otherwise exploit any Ribbit Materials, in whole or in part, without Ribbit’s prior written permission. This includes the use of Ribbit’s name, logos, or branding in a manner that may cause confusion or imply endorsement.
Nothing in these Terms grants you any right, title, or interest in or to the Ribbit Materials, except for the limited, revocable right to access and use the Services in accordance with these Terms. Any unauthorized use of Ribbit Materials may result in termination of your access to the Services and may subject you to civil or criminal liability under applicable law.
Your use of Ribbit is subject to our Privacy Policy, which explains how we collect, use, store, and protect your personal information. By accessing or using the Services, you acknowledge that you have read and understood the Privacy Policy and consent to the collection, processing, and use of your information as described therein.
This may include information you provide directly, information generated through your use of the Services, and information collected automatically, such as device data, usage metrics, and log information. Ribbit uses this information to operate, maintain, improve, and secure the Services, communicate with users, and comply with legal obligations.

Ribbit may contain links to, integrations with, or references to third-party websites, applications, or services that are not owned or controlled by Ribbit. These links are provided solely for your convenience and do not constitute an endorsement, sponsorship, or approval by Ribbit of any third-party content, products, or services.
Ribbit has no control over, and assumes no responsibility for, the content, privacy policies, terms of use, security practices, or actions of any third-party websites or services. Your interactions with third parties are solely between you and the applicable third party, and you access such third-party services at your own risk.
You acknowledge and agree that Ribbit shall not be responsible or liable, directly or indirectly, for any damage, loss, or harm caused or alleged to be caused by or in connection with your use of or reliance on any content, goods, or services available through third-party websites or services.
Ribbit is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, Ribbit disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
Ribbit does not warrant that the Services will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Services or servers are free of viruses or other harmful components. Your use of the Services is at your own risk.
Ribbit makes no representations or warranties regarding the accuracy, completeness, reliability, or availability of any content, information, or features provided through the Services, including User Content and third-party content. Any reliance on such content is solely at your discretion and risk.
To the maximum extent permitted by applicable law, Ribbit and its affiliates, officers, directors, employees, contractors, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, service interruption, computer damage, or system failure, arising out of or in connection with your access to or use of, or inability to access or use, the Services.
This limitation of liability applies regardless of the legal theory under which such damages are claimed, whether based on contract, tort (including negligence), strict liability, or otherwise, and even if Ribbit has been advised of the possibility of such damages.
In jurisdictions that do not allow the exclusion or limitation of certain damages, Ribbit’s liability shall be limited to the fullest extent permitted by law. In no event shall Ribbit’s total aggregate liability for all claims relating to the Services exceed the amount, if any, paid by you to Ribbit in the twelve (12) months preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Ribbit, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your access to or use of the Services, your User Content, your violation of these Terms, or your violation of any applicable laws, regulations, or third-party rights.
This indemnification obligation includes, but is not limited to, claims arising from intellectual property infringement, defamation, invasion of privacy, misuse of the Services, or any content submitted, posted, transmitted, or otherwise made available by you through Ribbit.
Ribbit reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate fully with Ribbit in asserting any available defenses. Your indemnification obligations under this section will survive the termination of these Terms and your use of the Services.
These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Services, shall be governed by and construed in accordance with the laws of the jurisdiction in which Ribbit operates, without regard to its conflict of law principles or rules that would result in the application of the laws of another jurisdiction.
You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the courts located within that jurisdiction, and you hereby consent to the personal jurisdiction and venue of such courts.
Nothing in this section shall prevent Ribbit from seeking injunctive or equitable relief in any jurisdiction where such relief is necessary to protect its intellectual property, confidential information, or other rights.
Ribbit respects the intellectual property rights of others and expects users to do the same. It is our policy to respond to clear and properly submitted notices of alleged copyright infringement in accordance with applicable intellectual property laws, including the Digital Millennium Copyright Act (DMCA) where applicable.
If you believe that any content made available through the Services infringes your copyright or the copyright of a party you are authorized to represent, you may submit a written notice identifying the allegedly infringing material. Such notice should include sufficient information to allow us to locate the material, identify the copyrighted work claimed to have been infringed, and provide contact information for the complaining party.
Upon receipt of a valid and complete infringement notice, Ribbit will review the claim and take appropriate action, which may include removing or disabling access to the allegedly infringing content and, where appropriate, notifying the user who posted the content. Ribbit may also take additional enforcement actions against repeat infringers, including account suspension or termination, in accordance with our policies.
Nothing in this section is intended to limit Ribbit’s ability to pursue other remedies available under law or to comply with legal obligations. Submission of a copyright notice does not guarantee that the content will be removed, and Ribbit reserves the right to request additional information or decline action where a notice is incomplete, invalid, or abusive.
Ribbit does not guarantee that the Services will be available at all times, continuously, or without interruption. Access to the Services may be suspended, limited, delayed, or restricted in whole or in part at any time due to scheduled or unscheduled maintenance, updates, upgrades, system modifications, security concerns, capacity limitations, technical failures, third-party service disruptions, or other operational reasons.
Ribbit reserves the right, in its sole discretion, to modify, suspend, withdraw, discontinue, or change any aspect of the Services, including features, functionality, content availability, or access requirements, with or without notice. Such changes may be temporary or permanent and may occur for business, legal, technical, or security-related reasons.
You acknowledge and agree that service interruptions, delays, errors, data loss, or reduced performance may occur from time to time and that Ribbit shall not be liable for any inability to access or use the Services, or for any resulting loss of data, content, communications, or other information, to the maximum extent permitted by applicable law.
Ribbit is not responsible for any failure or delay caused by circumstances beyond its reasonable control, including but not limited to internet outages, hosting provider failures, software bugs, cybersecurity incidents, acts of God, natural disasters, power outages, labor disputes, government actions, or failures of third-party services or infrastructure.
You are responsible for ensuring that your use of the Services complies with applicable laws and for maintaining appropriate safeguards, backups, and alternative access where necessary. Continued use of the Services following any interruption, modification, or change constitutes acceptance of the Services as modified.
Ribbit is not responsible for the conduct, communications, interactions, or disputes between users of the Services, whether such interactions occur through public content, private messages, comments, communities, or any other features of the platform. You acknowledge and agree that your interactions with other users are undertaken at your own risk.
Any disputes, disagreements, claims, or conflicts arising between you and one or more users, including but not limited to disputes relating to content, communications, transactions, behavior, harassment, misrepresentation, or alleged misconduct, are solely between you and the other party. Ribbit does not act as an arbitrator, mediator, or representative for users and has no obligation to intervene, resolve disputes, or enforce user agreements.
To the maximum extent permitted by applicable law, Ribbit shall not be liable for any loss, damage, injury, or harm of any kind arising out of or relating to user interactions, including emotional distress, reputational harm, financial loss, physical injury, or any other damages, whether direct, indirect, incidental, consequential, or punitive.
You agree to take reasonable precautions in all interactions with other users, including when sharing personal information, engaging in communications, or participating in any activities facilitated through the Services. Ribbit does not verify the identity, background, or intentions of users and makes no representations or warranties regarding user behavior or trustworthiness.
Nothing in this section limits Ribbit’s ability to take enforcement action under these Terms or applicable law where necessary to protect users or the platform. However, Ribbit’s decision to take or refrain from taking action in response to a user dispute does not create any obligation, duty, or liability.
Nothing in these Terms, the Services, or your use of Ribbit creates or shall be deemed to create any agency, partnership, joint venture, employment, fiduciary, or franchise relationship between you and Ribbit. You acknowledge and agree that you do not have any authority to bind Ribbit in any manner, and Ribbit does not assume any obligations or responsibilities arising from your actions or representations.
No provision of these Terms is intended to, or shall be construed to, create any rights, duties, or obligations beyond those expressly stated herein. Ribbit does not owe you any fiduciary duty, special duty of care, or heightened obligation of trust, and your relationship with Ribbit is strictly that of an independent user accessing the Services.
You further agree that Ribbit is not acting as an agent, representative, broker, intermediary, or advisor in connection with any interactions, communications, or transactions you may have with other users or third parties through the Services.
Ribbit reserves the right, in its sole discretion, to modify, update, suspend, or replace these Terms at any time to reflect changes in the Services, legal requirements, business practices, or operational needs. When changes are made, we will update the effective date at the top of these Terms and may, where reasonably practicable, provide additional notice through the Services, such as via an in-app message, banner, or other communication.
Your continued access to or use of Ribbit after any revised Terms become effective constitutes your acknowledgment and acceptance of the updated Terms. If you do not agree to the revised Terms, you must immediately discontinue use of the Services and, if applicable, delete your account.
It is your responsibility to review these Terms periodically to stay informed of any updates or changes. Ribbit’s failure to enforce any right or provision of these Terms in a particular instance shall not be deemed a waiver of such right or provision, nor shall it affect Ribbit’s ability to enforce these Terms at any other time or in the future.
To the extent permitted by applicable law, changes to these Terms will not apply retroactively to disputes or claims that arose prior to the effective date of the updated Terms, unless otherwise required by law.
